Claudia is an Associate Counsel and a member of Boughton Law’s securities law practice group. Claudia advises local and international, private, emerging and public companies on a full range of corporate and securities matters, including equity and debt capital raising; going public and listing on Canadian stock exchanges by initial public offering, reverse takeover, or other methods. She advises companies on structuring and carrying out arrangements, cross border mergers and acquisitions, spin-outs, corporate restructurings, and other business combinations and transactions. She also advises on compliance with corporate and securities laws and regulations and stock exchange policies; corporate governance; takeover bids; shareholders’ agreements; resolution of shareholder disputes; and commercial contracts, including share purchase, option, joint venture, and license agreements.

Claudia has broad and diverse skills and experience, including structuring transactions; negotiating terms and agreements; obtaining regulatory and shareholder approval, and coordinating closings. Her extensive experience and network provides added benefit to clients through introductions to industry participants, including financial sources, strategic partners, and service providers. She has gained understanding of many sectors in which her clients operate, including mining, technology, biosciences, organic pharmaceuticals, and life sciences. She identifies and understands the needs and goals of clients and strives to achieve optimal results in a timely and efficient manner.

  • Co-ordinator and lecturer for The Continuing Legal Education Society of British Columbia (“CLE”), annual seminar for junior securities lawyers and legal support staff, from 1995 to 2006

Representative Transactions

October 20, 2009, Pathway Mining 2009-II Flow-Through Limited Partnership filed a prospectus for the issue of limited partnership units (maximum $15 million and minimum $2.5 million offering) the proceeds of which will be used to acquire flow-through shares in companies involved in mineral exploration in Canada. Boughton Law Corporation acted as counsel to the Partnership and its general partner in conjunction with the prospectus offering.

September 22, 2009, Pathway Quebec Mining 2009-II Flow-Through Limited Partnership filed a prospectus for the issue of limited partnership units (maximum $10 million and minimum $2.5 million offering) the proceeds of which will be used to acquire flow-through shares in companies involved in mineral exploration in Quebec and elsewhere in Canada. Boughton Law Corporation acted as counsel to the Partnership and its general partner in conjunction with the prospectus offering.
