Boughton Law acts as Canadian Counsel to Thesis Gold in Merger

Thesis Gold Inc. (“Thesis”) and Benchmark Metals Inc. (“Benchmark”) recently announced an agreement to merge, creating a new premier precious metals project with a combined market capitalization of over $145 million.

The definitive arrangement agreement (the “Arrangement Agreement”) will see Benchmark acquire all issued and outstanding common shares of Thesis (each, a “Thesis Share”) by way of a court-approved plan of arrangement under the Business Corporations Act (British Columbia) (the “Arrangement” or the “Transaction”).

Boughton Law Corporation and Aird & Berlis LLP acted as Canadian legal counsel to Thesis, with Clarus Securities Inc. acting as financial advisor, and Canaccord Genuity Corp. providing the fairness opinion to the Thesis Special Committee evaluating the merger.

Cassels Brock & Blackwell LLP acted as legal advisor to the Benchmark Special Committee, with Harper Grey LLP acting as legal advisor to Benchmark. Raymond James Ltd. acted as financial advisor to the Benchmark Special Committee.
