Sean brings an extensive entrepreneurial business background, combined with innovative legal and management strategic guidance to his work within the Securities group. As such, he is well positioned to help active and growing businesses in a variety of industries with their financial, transactional, corporate and commercial legal issues.
Sean concentrates his practice on transactional corporate, commercial and securities law matters. His clients range from mining and industrial public companies to financial institutions, mortgage investment corporations and private business ventures. He advises these and other clients on going public transactions, private and public financings, mergers and acquisitions, corporate reorganizations, contracts, joint ventures, shareholder agreements and other commercial arrangements.
Sean specializes in the structuring and execution of transactions for the Canadian public capital markets, including going public transactions, exchange listing transactions, and debt and equity financings. In addition, he regularly advises on securities regulatory matters involving the TSX Venture Exchange, the Toronto Stock Exchange, the Canadian Securities Exchange (“CSE”) and Canadian securities commissions, including continuous disclosure, take-over bids, corporate governance and other such matters.
During his career, Sean has practiced law at a large national Canadian law firm as well as with another firm in British Columbia. He is accredited as a Professional Engineer in British Columbia and Alberta, and holds an MBA. Previously, he was a senior executive of an early-stage oil and gas industrial company and practiced as a management strategy consultant. Accordingly, he has a breadth of experience and perspective that serves clients well on all sides of finance and other strategic business transactions.
