Karim received his LL.B. from the University of Ottawa in 1994. Karim was admitted to the British Columbia Bar and the Ontario Bar in 1996, and the Washington State Bar in 2007. Karim practices primarily in the areas of US and Canadian corporate finance & securities law, mergers & acquisitions, and corporate & commercial law. He has been involved in acquisitions, financings and reorganizations of various types and sizes, including Canadian, US and cross-border private and public debt and equity offerings, take-over bids and mergers and acquisitions transactions involving local, national and international companies. Karim advises publicly-traded companies on corporate governance, Sarbanes-Oxley Act compliance, Canadian and U.S. securities disclosure requirements, and stock exchange listings. He also provides ongoing corporate and commercial advice to clients. Karim has authored articles and spoken about securities law, including with respect to the streamlining of capital formation in the United States by the SEC.
Representative Transactions
- Represented the partnership of 38 First Nations, Stonlasec8 Indigenous Alliance Limited Partnership, in their $736M acquisition of 12.5% equity in Enbridge’s Westcoast natural gas pipeline system (which is the 2,900 km pipeline system from Fort Nelson, B.C., to the Canada-U.S. border). This transaction included the first-ever Federal Loan Guarantee by the Government of Canada’s new Indigenous Loan Guarantee Program ($400M loan guarantee).

- Represented ZenaTech, Inc., a leader in AI drone technology and enterprise SaaS (Software-as-a-Service) solutions, with the preparation, filing and clearing of a Registration Statement of Form F-1 with the United States Securities and Exchange Commission in connection with a NASDAQ listing and supporting the company’s successful debut on NASDAQ, with Maxim Group Inc. as sponsor.
- Represented ZenaTech, Inc. with the preparation, filing and clearing of a Shelf Registration Statement on Form F-3 and prospectus supplement with the United States Securities and Exchange Commission in connection with the distribution of common shares, preferred shares, warrants, debt securities, rights or units in an aggregate principal amount of up to US$250M by way of an at-the-market offering of the securities registered.
- Represented ZenaTech, Inc. with the preparation, filing and clearing of a prospectus supplement with the United States Securities and Exchange Commission in connection with the distribution of common shares under the Shelf Registration Statement pursuant to an Overnight Offering.
- Represented Athabasca Chipewyan First Nation in connection with an investment in First Nations Financial Markets, a newly formed majority First Nations-owned investment dealer connecting issuers with capital.
- Represented Thesis Gold Inc. in a brokered equity private placement of common shares and flow through units raising gross proceeds of approximately $21M with Clarus Securities Inc. as lead agent and sole bookrunner on behalf of a syndicate of agents including Cormark Securities Inc., Ventum Financial Corp., Hannam & Partners and Raymond James Ltd.
- Represented Goldgroup Mining Inc. with various financings and acquisitions of mining concessions and properties.
